Australian Land Sailing Association (INC)
Constitution
- NAME
The name of this body shall be the “Australian Land Sailing Association (INC.) and shall herinafter be referred to as “The Association”.
- OBJECTS
The objects of the Association shall be:
A. To govern, develop and advance the sport of land sailing in Australia.
B. To promote, supervise and control the competitions for land sailing bodies and members.
C. To encourage land sailing bodies in Australia to affiliate with the Association, and to give all possible assistance to them in order to promote the sport.
D. To lay down standards, regulate and adjudicate over all facets of the sport to achieve co-ordination of the bodies and their aims.
E. To establish and maintain contact with overseas land sailing bodies for exchange of advancements in the sport and to encourage representation at international competitions.
- POWERS
The Association shall have the power to do all such things as necessary, incidental or conducive to the attainment of the objects of the Association.
- NON-PROFIT
The income and property of the Association shall be applied solely towards the promotion of the objects of the Association.
No portion of the income or property shall be paid, transferred or distributed directly or indirectly to the affiliates of the Association, provided that nothing shall prevent the payment in good faith of remuneration to any officer or employee of the Association or to any person other than a member, in return for the services rendered to the Association.
- MEMBERSHIP
A. The Association shall consist of bodies engaged in the participation and promotion of land sailing, and the individual members of such bodies.
B. All affiliated bodes shall be amateur organisations.
C. The Committee shall have the power to accept or reject any application for affiliation.
D. Rules of Affiliation.
a) Bodies seeking affiliation with the Association must pay an annual affiliation fee, as set by the Committee, payable upon joining or renewal of affiliation.
b) Individual members of affiliated bodies must register with the Association, and pay an annual registration fee.
c) The Committee may require a Body seeking affiliation to submit proof of financial status and a written Constitution before affiliation is granted.
d) Bodies, and members, seeking affiliation must undertake to abide by this constitution of the Association. Affiliated Bodies will be held responsible for the conduct of their members.
e) Each affiliated body shall be entitled to nominate TWO delegates to the Association, with each delegate having ONE vote.
E. Patron and life Members
a) A General Meeting of members may appoint any person to be a Patron, or Life Member, in recognition of services rendered to the Association and land sailing.
b) They shall be entitled to free membership and have the right to vote at any Meeting of the Association.
- THE COMMITTEE.
A. Powers of the Association shall be vested in the Committee
a) It shall have effective control of, and the power to manage, the affairs of the Association.
b) All of its resolutions and decisions shall be binding upon affiliated bodies and members.
B. Specific powers may be delegated to sub-committees for specific purposes of a temporary nature.
C. It shall have the power to fill any vacancy on the Committee as may occur before the next Annual General Meeting.
D. The Committee shall consist of at least FIVE, from which shall be elected a President, Vice President, Secretary and Treasurer.
E. The signatures of any TWO of the office-bearers shall be required to validate any cheque drawn on the Association’s account.
F. The Committee shall meet as may be required to conduct business of the Association.
G. The Committee shall ensure that true accounts are kept of all monies received and expended.
- MEETINGS
A. Annual General Meeting. (A.G.M.)
a) The A.G.M. shall be held at the same time as the Australian Championships.
b) The Secretary shall give THIRTY DAYS notice in writing to all affiliated bodies and members.
c) The quorum shall consist of at least 60 percent of the eligible delegates. If a quorum is not reached, discussion may take place but no major decisions must be made.
d) The Business of the A.G.M. will include:-
i. Roll call,
ii. Confirmation of Minutes, and matters arising,
iii. President’s Report,
iv. Secretary’s Report,
v. Financial Report,
vi. Motions on Notice,
vii. Election of the Committee,
viii. Appointment of Auditor,
ix. General Business.
B. Special General Meeting.
A special meeting shall be called at the request of the President, Vice-President, Secretary, by resolution of the Committee, or at the written request of 10 percent of eligible delegates.
Such meeting shall be held within 30 days of such request, with affiliated bodies being invited in writing at least 14 days prior to such meeting.
C. Notice of Motions.
Notices of Motions for a General Meeting shall be in writing and received by the Secretary at least 21 days prior to such meeting.
D. Chairman
1. The President, or in his absence the Vice President shall preside at all meetings.
2. In the absence of the President or Vice-President, the meeting will elect a member of the Committee to preside.
3. The Chairman shall have a casting vote as well a deliberative vote.
4. The Chairman’s decision on points of order shall be final.
E. Voting
1. All eligible delegates shall be entitled to one vote, and postal and proxy votes are permitted.
2. A resolution put to the vote shall be decided by a majority show of hands.
- AUDIT
A. Auditor.
The Auditor shall be appointed by the Annual General Meeting to audit the Association’s accounts. The Auditor shall not be a member of the Committee but
may attend the meeting and participate in discussions.
B. An audited account for the financial year ending January 31st will be presented at the following Annual General Meeting.
9. RESIGNATION AND EXPULSION
A. Resignation.
Any affiliated body or member may terminate its affiliation by means of written notice to the Committee.
B. Expulsion.
1. The Committee shall have the power to impose fines upon, or rescind the affiliation of, any affiliated body which fails to abide by this Constitution.
2. a) The Committee may expel from the Association, or otherwise penalise, any member whose conduct is in the opinion of the Committee, discreditable or injurious to the character or interests of the Association or the sport of land sailing.
b) Before any member is expelled or otherwise penalised his conduct shall be enquired into by the Committee, and the member shall be given the opportunity to justify or explain his conduct and to present arguments in his defense.
10. ALTERATION OF THE CONSTITUTION.
A. No alteration, addition, deletion or amendment to the Constitution shall be made unless and until carried by resolution at an Annual General Meeting by a majority of two thirds of the delegates present.
B. Notice of Motion must be in writing and received by the Secretary 30 days prior to the next scheduled Annual General Meeting.
11. COMMON SEAL.
The Association shall have a Common Seal containing the name of the Association and shall be kept in the custody of the President or Secretary and be used only with the authority of the Committee. All documents to which the Common Seal is affixed shall be signed by
the President and either the Secretary or the Vice-President. The Secretary shall keep a record of all documents to which the Common Seal has been affixed.
12. DISSOLUTION.
A. The Association shall not be dissolved except by a resolution to that effect passed by a three quarter majority of eligible delegates at a General Meeting of the Association.
B. If upon the dissolution or winding up of the Association there remains after the satisfaction of all its debts and liabilities any property whatsoever, the same shall not be paid or distributed among the members of the Association but shall be given or transferred –
1. to some other Association of club having objects similar wholly or in part to the objects of this Association, or
2. to a charitable or benevolent institution, which Association, Club or Institution shall be determined by the Members of this Association at or before the time of dissolution, or
3. in default thereof, or if effect cannot be given such determination, then such payment or distribution shall be determined by a Judge of the Supreme Court.
